Goodwell Referral Platform Service Policies and Rules

1. Introduction

The Goodwell Referral Platform Service (“Service”) is owned and operated by Goodwell Technologies, Inc. (“we” or “us”). Your use of Service is subject to your compliance with the policies and rules set forth below, which we may update and publish on our sites from time to time, as well as Goodwell’s Network Participation Agreement, Terms of Service, Privacy Policy and all other terms and conditions set forth on our sites or otherwise connection with our provision of the Service (including policies and rules we may establish with respect to particular networks using our Service). Some of the capitalized terms used in these policies and rules are defined in such other Service-related agreements and terms and conditions.

These policies and rules are designed to provide a positive experience for network participants and other authorized users. These policies also help us prevent abuse of the Service. Violation of these policies may result in the denial of access to the Service and/or termination of your account. These policies and rules may change at any time, so please check back here when you use the Service to review the current version.

2. Business Policies & Rules

Payment Disputes: Goodwell is not responsible for payment or billing disputes arising from Referral Agreements or otherwise in connection with your use of the Service. All billing issues should be directed to the other network participants in question or to a credit card company or payment processor if applicable.

Customer Support: Information about the use and operation of the Service (including how to establish an account and enter into and take actions anticipated by Referral Agreements) is provided by us in the Service’s user interface (including without limitation in the Terms of Service). Each network participant is responsible for providing customer support in connection with Referral Agreements they are party to, and the terms of such support are set forth in the Referral Agreement.

Customer Satisfaction: Each network participant is responsible for providing exceptional customer service in connection with Referral Agreements they are party to, focusing on ensuring to the fullest extent possible the complete satisfaction of referred customers from other participants. We may survey customer satisfaction to determine how participants are accomplishing this important task.

Use of Customer Information. You may use the referred customer information provided through the Service only for the purposes expressly defined in the associated Referral Agreement and in accordance with the Goodwell Privacy Policy. You may not solicit, transfer or use such information in any other way.

Network Participation. You and all other network participants using the Service are responsible for fully implementing and complying with all procedures and policies defined by the Network Manager for each Network you participate in.

Compliance with Laws. You are responsible for compliance with all federal, state and local law and regulations in connection with your use of the Service and each associated Network and Referral Agreement.

3. Maintenance Practices

Maintenance and Service Interruptions: Generally, we will make the Service available from midnight Monday morning to midnight Saturday evening (all Pacific time). We perform general maintenance to the systems operating the Service on Sundays, and the Service may not be available at all times during that day. In addition, we may need to perform maintenance-related activities on other days of the week, in which case we will attempt to post a notice on the Service of such potential interruption at least 24 hours in advance and we may also email you with advance notice. We reserve the right to perform unscheduled maintenance on the Service at any time with or without notice.

4. Other Policies & Rules

Illegal Activities
You may not use the Service for any unlawful purpose or for promotion of dangerous and illegal activities. This includes without limitation any use of the Service in connection with trafficking in pornography, stolen items or any illegal substances (e.g., drugs). If you do, in addition to our other remedies, we may notify law enforcement authorities and take other appropriate actions.

Malicious Products
You may not use the Service to transmit viruses, worms, defects, Trojan horses, malware, or any other items of a destructive nature. Spam, malicious scripts and password or other phishing scams are also prohibited on the Service. You may not promote any service or product that interferes with functioning of the Service or other users’ enjoyment of it.

Sexually Explicit Material
You may not post or transfer via the Service any content containing nudity, sexually explicit, pornographic or obscene material. Also, you may not use the Service to promote traffic to sites or services that include or promote pornography.

Harassment; Hate Speech
You may not post or transmit via the Service any materials that threaten, harass or bully anyone or to defame or invade anyone’s right of privacy. Also, the Service may not be used to promote hatred of any person or group based on race or ethnic origin, religion, disability, gender, age, veteran status or other status.

Impersonation
You may not use the Service in any manner that involves impersonation of others or other behavior that is misleading or intended to be misleading.

Private & Confidential Information
You may not publish other people's private or confidential information via or in connection with the Service – e.g., credit card numbers, Social Security Numbers, driver's and other license numbers, or any other information that is not publicly accessible.

Notice to Goodwell of Improper Activity
You agree to notify us (via email or any means provided in the Service) if you become aware of any violations of these policies and rules or our Terms of Service, Privacy Policy or other terms applicable to the Service.

5. Copyright/DMCA Notices

Goodwell respects the intellectual property rights of others. You may not use the Service for any infringing activities, including infringement or misuse of anyone’s copyrights, trademarks, trade secrets or patents. We respond to notices of alleged infringement that comply with the Digital Millennium Copyright Act of 1998 ("DMCA"). The DMCA gives recourse to owners of copyrighted material who believe their rights under U.S. copyright law have been infringed on an internet site or service.

Under the DMCA, if you believe your copyrights have been infringed on our Service or sites, you must address your notice of claimed copyright infringement to our Designated Agent: Bart Dellinger, with address at 2047 152nd Ave. N.E., Redmond, WA 98052; telephone number: 425-653-1781; fax number: 425-643-8196; and email: Bart.Dellinger@GoodwellTech.com. After receiving notice, we may remove or disable access to any infringing material as provided for in the DMCA.

Your notice must include the following information:

  1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit the service provider to locate the material;
  4. Information reasonably sufficient to permit the service provider to contact the complaining party, such as address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;
  5. A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
  6. A statement that the information in the notification is accurate and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

We may give you notice that we have removed or disabled access to certain material as provided for in the DMCA. You may submit a counter-notification in writing to our Designated Agent pursuant to the DMCA.
